1. Services

Smiling Dev Consulting ("we," "us," or "our") provides web development, technical consulting, and digital transformation services to clients. By engaging our services, you agree to these terms and conditions.

2. Project Terms

All projects begin with a written agreement outlining scope, deliverables, timeline, and payment terms. Changes to project scope must be agreed upon in writing.

  • Project timelines are estimates and subject to change based on project complexity and client feedback
  • Final deliverables are provided upon receipt of full payment
  • Source code ownership transfers to the client upon final payment

3. Payment Terms

Our standard payment terms include:

  • 50% deposit required to begin work
  • Remaining balance due upon project completion
  • Additional work beyond agreed scope billed at our standard hourly rate
  • Late payments subject to 1.5% monthly interest charge

4. Intellectual Property

Upon final payment, clients receive full rights to the completed project deliverables. We retain rights to:

  • Display the work in our portfolio
  • Describe the project in case studies
  • Use non-proprietary code components in other projects

5. Confidentiality

We maintain strict confidentiality regarding client information and project details. Non-disclosure agreements available upon request.

6. Warranty & Support

We provide:

  • 30-day bug fix warranty on all delivered work
  • Documentation for all completed projects
  • Optional ongoing support and maintenance packages

7. Limitation of Liability

Our liability is limited to the amount paid for services. We are not liable for indirect, consequential, or incidental damages.

8. Termination

Either party may terminate services with 30 days written notice. Client is responsible for payment for all work completed up to termination date.

9. Governing Law

These terms are governed by the laws of the State of Utah, United States. Any disputes will be resolved in Salt Lake City, Utah.
